We appreciate your interest in contributing to OpenIM's open-source software projects.
By submitting any source code, bug fixes, configuration changes, documentation, feedback, or other works of authorship (collectively referred to as "Contributions") to OpenIM or its affiliates, you agree to the terms of this Individual Contributor License Agreement ("Agreement"). Your Contributions are crucial to the success of the Projects, and we sincerely appreciate your participation in the community! You hereby grant, and agree to grant, to OpenIM a non-exclusive, perpetual, irrevocable, worldwide, fully-paid, royalty-free, transferable copyright license to:
- Reproduce, prepare derivative works of, publicly display, publicly perform, and distribute your Contributions and such derivative works.
- Sublicense the aforementioned rights through multiple tiers of sublicensees.
However, rest assured that you will retain all your other rights, title, and interest in your Contributions.
You also grant, and agree to grant, to OpenIM a non-exclusive, perpetual, irrevocable, worldwide, fully-paid, royalty-free, transferable patent license. This license enables OpenIM to:
- Make, have made, use, offer to sell, sell, import, and otherwise transfer your Contributions.
- Sublicense the aforementioned rights to multiple tiers of sublicensees.
This patent license applies only to those patent claims licensable by you that are necessarily infringed by your Contributions alone or in combination with the Project to which such Contributions were submitted.
We respect your moral rights as an author. To the fullest extent permitted under applicable law, you are required to waive and agree not to assert any "moral rights" in or relating to your Contributions. This waiver benefits OpenIM, its assigns, and their respective direct and indirect sublicensees.
You represent that, apart from any Third Party Content or Third Party Rights identified by you, you are the sole author of your Contributions and are legally entitled to grant the licenses and waivers stated in this Agreement. If your Contributions were created while you were employed with your past or present employer(s), you represent that such employer(s) have authorized you to make Contributions on their behalf or that they have waived all their rights, titles, or interests in or to your Contributions.
Your Contributions are provided on an "as-is" basis, without any warranties or conditions, express or implied. This includes any implied warranties or conditions of non-infringement, merchantability, or fitness for a particular purpose. While we greatly appreciate your support, you are not required to provide any support for your Contributions, except to the extent you desire to do so.
We want to emphasize that OpenIM is under no obligation to use or incorporate your Contributions into any of the Projects. The decision to use or incorporate Contributions will be made solely at the discretion of OpenIM or its authorized delegates.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States of America. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in New York, New York.
